Terms of Service for ChatAE

1. Acceptance of Terms

By accessing or using ChatAE, you agree to be bound by these Terms and our Privacy Policy. If you do not agree with any part of these Terms, please do not use ChatAE. These Terms apply to all users of the service, including without limitation users who are browsers, vendors, customers, merchants, and contributors of content. If you are using ChatAE on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms, and in such case, references to "you" in these Terms refer to your entity as well. By agreeing to these Terms, you also agree to comply with all applicable laws and regulations in connection with your use of ChatAE.

2. Description of Service

ChatAE provides AI-assisted tools to help product managers in writing, editing, and thinking through product requirements documents and key product challenges. The service operates on 3rd party technology (OpenAI) and is designed to enhance productivity and decision-making in product management. ChatAE is constantly evolving with new features and improvements to provide the best possible service to its users.

3. User Registration and Account Security

To access ChatAE's features, users must register and create an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete. You are responsible for safeguarding your password and for any activities or actions under your account. ChatAE cannot and will not be liable for any loss or damage arising from your failure to comply with these security obligations.

ChatAE is committed to protecting your privacy. We will not sell, license, share, or distribute your personal data or content with anyone, except as required to provide and improve the service. • Promote discrimination, bigotry, racism, hatred, harassment, or harm against any individual or group.
• Threaten, or promote violence or actions that are threatening to any person or entity.
• Distribute, sell, lend, transfer, or grant rights in the Services not permitted under this Agreement.
• Create or distribute software that mimics the Services.
• Modify, alter, tamper with, repair, or create derivative works of the Services.
• Use the Services in connection with any malicious code or software.
• Interfere with or disrupt the integrity or performance of the Services.
• Attempt unauthorized access to the Services or related systems or networks.
• Engage in any form of data extraction or data mining, or related activities.
• Send unsolicited or unauthorized advertising, promotional materials, or spam.
• Impersonate or misrepresent your affiliation with any person or entity.
• Use the Services for any purpose that causes societal harm or is against public policy.

This list is not exhaustive and may be updated from time to time. Engaging in prohibited uses may lead to termination of your access to ChatAE and legal action.

6. Intellectual Property Rights

You retain all rights to your original content created using ChatAE. By using our service, you grant ChatAE a non-exclusive, royalty-free license to use, reproduce, adapt, modify, and display this content solely for the purpose of improving the service. ChatAE respects your intellectual property rights and expects you to do the same towards others.

7. Limitation of Liability

ChatAE is provided "as is" without any guarantees or warranty. In association with the product, ChatAE makes no warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, of title, or of non-infringement of third-party rights. Use of the product by a user is at the user's risk. We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly.

ChatAE disclaims all warranties, express or implied, including any warranties of accuracy, reliability, and any implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee that ChatAE will always be safe, secure, or error-free, or that ChatAE will always function without disruptions, delays, or imperfections.

9. Modification of Terms and Service

ChatAE reserves the right to modify these Terms and the service at any time. Changes will become effective immediately upon posting to the ChatAE website or at the time we notify you otherwise. We will provide notice of these changes by updating the last modified date of these Terms. Your continued use of ChatAE after any such changes constitutes your acceptance of the new Terms.

10. Termination of Service

ChatAE may terminate or suspend your access to the service immediately, without prior notice or liability, for any reason, including breach of these Terms. Upon termination, your right to use the service will immediately cease. If you wish to terminate your account, you may simply discontinue using the service.

11. Governing Law and Dispute Resolution

These Terms shall be governed by the laws of California, without regard to its conflict of law provisions. Any disputes arising from these Terms will be resolved through final and binding arbitration, rather than in court, in accordance with the Arbitration Agreement outlined below. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect. These Terms constitute the entire agreement between us regarding our Service, and supersede and replace any prior agreements we might have had between us regarding the Service.

12. General Terms

These Terms constitute the entire agreement between you and ChatAE regarding your use of the Service, superseding any prior agreements between you and ChatAE (including, but not limited to, any prior versions of the Terms). You may not assign these Terms without our prior written consent, but we may assign or transfer these Terms without restriction. Any attempted transfer or assignment in violation hereof shall be null and void. No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term, and ChatAE's failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.
